Rymarz Zdort and Dentons Advise on Sale of Controlling Stake in Archicom to Echo Investment

Rymarz Zdort has advised the founders of Archicom S.A. on their sale of 66.01% of the share capital and 65.99% of the votes to Echo Investment S.A. Dentons advised the buyer on the deal.

According to Rymarz Zdort, “the price for the block of shares amounts to PLN 425.1 million and will be partially offset by way of the founders subscribing for PLN 188 million in bonds issued by Echo Investment.” In addition, Rymarz Zdort reported that, as a part of the transaction, an option agreement was executed under which Echo Investment will acquire, or designate an entity to acquire, by March 15, 2023, shares in the share capital of an SPV holding 8.31% of the shares in Archicom. 

The Archicom Group is a real estate developer operating in the cities of Wroclaw, Krakow, Lodz, Poznan and the Tri-City area. Echo Investment is a Kielce-based publicly held company which primarily invests in the housing, shopping centers, office buildings, and hotel sectors of the Polish real estate market.
