Fieldfisher, working with NautaDutilh, has advised Lynx Trail Capital on its investment in ICEA with partial financing via a credit facility from mBank. CMS advised ICEA.
Lynx Trail Capital is a search fund founded by Michal Kaminski and Constantin Marek.
ICEA is a Polish SEO/SEM agency.
According to Fieldfisher, the investment will support ICEA’s transformation into an AI-native e-commerce growth platform. Following the closing, Michal Kaminski became Chief Executive Officer and Constantin Marek Vice President, overseeing technological transformation and AI development, with the existing leadership team remaining in place.
The Fieldfisher team included Co-Managing Partner Rafal Stroinski, Counsels Malwina Niczke-Chmura and Magdalena Kalinska, Senior Associate Magdalena Borychowska, and Associates Adam Janczewski and Malgorzata Nowak.
The CMS team included Poland-based Partner Mateusz Stepien, Senior Associates Joanna Bialoskorska and Marta Osowska, and Associate Tomasz Piotrowski as well as Luxembourg-based Partner Pawel Hermelinski.
