Schoenherr, working with Linklaters, has advised the underwriting syndicate on the initial public offering of ASTA Energy Solutions. DLA Piper reportedly advised ASTA Energy Solutions.
According to Schoenherr, ASTA Energy Solutions is a globally active, vertically integrated producer of copper-based solutions used in mid- to high-voltage transformers, industrial generators, and data centres. The company’s shares were admitted to trading on the Regulated Market (Prime Standard) of the Frankfurt Stock Exchange, with trading commencing on January 30, 2026.
The underwriting syndicate comprised Berenberg as sole global coordinator, joint bookrunner and underwriter, together with Commerzbank, in cooperation with ODDO BHF, and Raiffeisen Bank International as joint bookrunners and underwriters, and Baader Bank as co-lead manager. The total placement volume amounted to approximately EUR 190 million, assuming full exercise of the greenshoe option, with around 6.45 million shares placed at an offer price of EUR 29.50 per share. The offering comprised newly issued shares from a capital increase, secondary shares sold by existing shareholders, and additional shares to cover potential over-allotments. Gross primary proceeds to the company from the capital increase amounted to approximately EUR 125 million. Following the offering, the company’s free float is expected to be approximately 39%, assuming full exercise of the greenshoe option.
